Terms of Service

    1. Agreement to Terms

    By accessing or using HeatFlow.AI ("the Platform"), operated by Adapt Gas Ltd ("we", "us", "our"), you agree to be bound by these Terms of Service. If you do not agree, you must not use the Platform.

    These terms apply to all users, including administrators, operators, and engineers accessing the Platform through any device.

    2. Description of Service

    HeatFlow.AI provides smart metering, fault detection, maintenance management, compliance tracking, and energy analytics services for commercial buildings and heat networks. The Platform includes:

    • Real-time meter data collection and monitoring
    • AI-powered fault and anomaly detection
    • Maintenance job scheduling and tracking
    • Regulatory compliance management (Heat Network Regulations 2014, HNBR 2024)
    • AI-powered analytics and anomaly detection
    • Carbon and savings verification reporting

    3. User Accounts

    You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must:

    • Provide accurate and complete registration information
    • Notify us immediately of any unauthorised access to your account
    • Not share your login credentials with third parties
    • Not create accounts for automated or bot-driven access without prior written consent

    We reserve the right to suspend or terminate accounts that violate these terms or pose a security risk.

    4. Acceptable Use

    You agree not to:

    • Use the Platform for any unlawful purpose
    • Attempt to gain unauthorised access to any part of the Platform or its infrastructure
    • Interfere with or disrupt the integrity or performance of the Platform
    • Reverse-engineer, decompile, or disassemble any part of the Platform
    • Upload malicious code, viruses, or harmful data
    • Scrape, harvest, or collect data from the Platform without authorisation
    • Impersonate another user or misrepresent your identity

    5. Data Handling & Privacy

    Your use of the Platform is also governed by our Privacy Policy, which describes how we collect, use, and protect your personal data in compliance with the UK GDPR and Data Protection Act 2018.

    Metering data and consumption records processed through the Platform are treated as confidential and are only shared with authorised parties as described in our Privacy Policy.

    6. Intellectual Property

    All content, features, functionality, trademarks, and intellectual property on the Platform are owned by Adapt Gas Ltd or its licensors. You may not copy, modify, distribute, or create derivative works from any part of the Platform without our express written permission.

    Data you input into the Platform (site configurations, meter data, consumption records) remains your property. You grant us a licence to process this data solely for the purpose of delivering the service.

    7. Service Availability & SLAs

    We aim to maintain 99.9% uptime for the Platform but do not guarantee uninterrupted access. Scheduled maintenance will be communicated in advance where possible. We are not liable for downtime caused by:

    • Force majeure events (natural disasters, power outages, etc.)
    • Third-party service provider failures
    • Scheduled maintenance windows
    • Your internet connectivity or hardware issues

    8. Limitation of Liability

    To the maximum extent permitted by law, Adapt Gas Ltd shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to:

    • Loss of profits, or data
    • Business interruption
    • Errors in reported figures due to faulty meter data
    • Decisions made based on analytics or AI-generated insights

    Our total liability for any claim arising from or related to these terms shall not exceed the fees paid by you in the twelve (12) months preceding the claim.

    9. Indemnification

    You agree to indemnify, defend, and hold harmless Adapt Gas Ltd, its officers, directors, employees, and agents from any claims, liabilities, damages, losses, or expenses arising from your use of the Platform or violation of these terms.

    10. Termination

    Either party may terminate this agreement with 30 days' written notice. Upon termination:

    • Your access to the Platform will be revoked
    • We will provide a data export upon request within 30 days
    • Confidential data will be securely deleted within 90 days
    • Outstanding fees remain payable

    We may terminate immediately if you breach these terms or engage in activities that compromise the Platform's security or integrity.

    11. Changes to Terms

    We may update these terms from time to time. Material changes will be communicated via email or in-platform notification at least 14 days before they take effect. Continued use of the Platform after changes constitutes acceptance of the updated terms.

    12. Governing Law

    These terms are governed by and construed in accordance with the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.
